What is changing in your company’s ownership?
A new shareholder, a shareholder’s departure or a business acquisition each raises different issues. Growth or a need for financing may also require a review of the company’s agreements and structure.

How we plan the arrangement
Objectives and current position
We review the company’s current ownership, the proposed change and the timetable. The starting point is what you want the arrangement to achieve for your business.
Documents and corporate decisions
I identify the contracts and corporate decisions required for the change. You receive a proposed sequence of steps so that you know how the matter will progress.
Work by other advisers
Uhmu’s services do not include tax, financial or accounting advice. Any such work and the advisers responsible for it must be agreed separately.
FEES
Corporate law fees
A single agreement and a broader corporate arrangement require different amounts of work. You receive a fixed fee or fee estimate once we have established what your company needs.
VAT is added to the prices. The final scope and fee for services listed with a starting price are agreed separately.

A quote or fee estimate covers the agreed work. Any authority fees and work by other advisers are assessed separately.

Practical questions
Can I get in touch before I know how to implement the arrangement?
Yes. Tell me your objective and your company’s current position. In the free initial assessment, I identify what kind of assistance you need. Any further investigation and its fee are agreed separately.
Is a holding company structure always worthwhile?
No. Whether the structure is appropriate depends on factors including the owners’ objectives, the business, the intended use of funds and administrative costs. Its benefits and requirements must be assessed case by case; it should not be recommended solely on the assumption of a general tax advantage.
What does due diligence for a business acquisition cover?
The scope of due diligence is agreed according to the transaction and the target company. It may cover matters such as contracts, ownership, employees and liabilities. Responsibility for financial and tax due diligence is agreed separately.
What if a dispute has already arisen between the shareholders?
The need for dispute resolution and any urgent measures must then also be assessed. Updating a shareholders’ agreement will not, by itself, resolve an existing disagreement. See also the dispute resolution service for businesses.
